This Artist & Label Distribution Agreement (the “Agreement”) governs the submission, review, delivery, distribution, monetization, royalty administration, takedown, and related handling of music and related content through All Humans Cry (“All Humans Cry,” “we,” “us,” or “our”).
This Agreement applies to all users, artists, labels, managers, representatives, business accounts, rights holders, and any other person or entity that submits music, artwork, metadata, social monetization assets, Content ID assets, or related materials through All Humans Cry.
This Agreement forms part of and is incorporated into our Terms of Service, Anti-Fraud Policy, Royalty & Payout Policy, Copyright & Takedown Policy, Refund & Cancellation Policy, Privacy Policy, Cookie Policy, and any other applicable policy or agreement published by All Humans Cry.
By creating an account, purchasing a subscription, submitting a release, requesting distribution, using monetization services, using the dashboard, or otherwise using All Humans Cry, you agree to this Agreement.
1. Scope of this Agreement
This Agreement applies to all releases submitted through All Humans Cry, including but not limited to:
- singles;
- EPs;
- albums;
- remixes;
- cover songs;
- music videos;
- audio files;
- artwork;
- metadata;
- artist names;
- label names;
- lyrics;
- logos;
- social monetization assets;
- YouTube Content ID assets;
- TikTok, Instagram, Facebook, and other social platform monetization assets;
- any other music-related material submitted to All Humans Cry.
This Agreement governs the relationship between All Humans Cry and the user with respect to music distribution and related services.
2. Role of All Humans Cry
All Humans Cry provides music distribution services through third-party distribution partners, currently including Too Lost where applicable.
All Humans Cry does not currently have direct contracts with digital service providers, streaming platforms, download stores, social media platforms, or other DSPs. Instead, All Humans Cry may submit approved releases to third-party distribution partners, which may then deliver those releases to DSPs and related platforms.
You acknowledge and agree that All Humans Cry does not control DSP approval, DSP timing, DSP policies, platform availability, reporting cycles, royalty calculations, royalty payment timing, content removals, monetization decisions, Content ID decisions, social monetization decisions, or any other decision made by DSPs or third-party distribution partners.
All Humans Cry may change, add, remove, replace, or migrate third-party distribution partners at any time for business, legal, technical, operational, royalty, compliance, fraud prevention, service continuity, or partner-related reasons.
3. Authorization to Use Third-Party Distribution Partners
By submitting a release to All Humans Cry, you authorize All Humans Cry to submit, deliver, process, administer, monetize, manage, migrate, takedown, remove, and otherwise handle the release through Too Lost or any other third-party distribution partner used by All Humans Cry.
You also authorize All Humans Cry to provide your release, metadata, artwork, rights information, payout-related information, account information, and other relevant information to third-party distribution partners, DSPs, social platforms, Content ID providers, technical service providers, payment/reporting providers, anti-fraud partners, and other relevant parties where necessary to provide the services, comply with law, enforce this Agreement, prevent fraud, handle disputes, or comply with partner requirements.
4. Ownership
As between you and All Humans Cry, you retain ownership of the rights that you lawfully own in your music, recordings, compositions, artwork, artist name, label name, logo, metadata, and related content.
All Humans Cry does not acquire ownership of your master recordings solely because you use our services.
All Humans Cry does not acquire ownership of your composition, songwriting, or publishing rights solely because you use our services.
All Humans Cry does not acquire ownership of your artwork, artist name, label name, logo, metadata, or branding solely because you use our services.
All Humans Cry only receives the rights and license necessary to provide distribution, monetization, royalty collection, royalty administration, reporting, support, takedown, migration, legal compliance, fraud prevention, dispute handling, and related services.
5. License Granted to All Humans Cry
By submitting content to All Humans Cry, you grant All Humans Cry a worldwide, non-exclusive, sublicensable, transferable, royalty-administering license to use, reproduce, distribute, transmit, encode, store, host, format, reformat, deliver, make available, publicly perform where required, monetize, administer, report on, process, display, promote, takedown, remove, migrate, and otherwise use the content as necessary or reasonably useful to provide the services.
This license includes, but is not limited to, the right to:
- reproduce the content for delivery, storage, encoding, review, and
- distribution;
- distribute the content through third-party distribution partners and DSPs;
- transmit and deliver the content to Too Lost or other distribution partners;
- encode, convert, format, or reformat audio, artwork, metadata, and related files for technical requirements;
- store and host the content for review, processing, delivery, reporting, compliance, and recordkeeping;
- make the content available on DSPs and other platforms;
- publicly perform or communicate the content where required by platform functionality;
- monetize the content where applicable and approved;
- collect royalties and related revenue;
- administer rights as necessary for the services;
- process metadata;
- use artist names, label names, release titles, artwork, logos, and metadata for distribution and platform display;
- create previews, clips, snippets, thumbnails, or other technical materials if required by DSPs or
- distribution partners;
- submit content for YouTube Content ID or social monetization where approved;
- remove, takedown, suspend, or disable content where required or permitted;
- migrate releases between distribution partners;
- handle copyright disputes, fraud investigations, royalty claims, takedown requests, and legal claims.
6. Sublicensing
You authorize All Humans Cry to sublicense the rights granted under this Agreement to Too Lost, other third-party distribution partners, DSPs, streaming platforms, download stores, social media platforms, YouTube Content ID providers, TikTok, Instagram, Facebook, payment/reporting providers, technical service providers, anti-fraud partners, compliance partners, and other parties reasonably necessary to provide the services.
Such sublicenses may be necessary to deliver, host, stream, sell, monetize, identify, report, remove, or otherwise process the content.
7. Survival of License After Cancellation or Termination
The license granted to All Humans Cry continues for as long as necessary to provide the services and administer the content.
After cancellation, non-renewal, account closure, termination, takedown request, or removal of a release, the license may continue for a reasonable period as necessary to:
- process takedowns;
- collect royalties;
- process royalty reports;
- pay eligible royalties;
- handle reversals, deductions, and negative balances;
- resolve copyright claims;
- resolve fraud investigations;
- comply with third-party distribution partner requirements;
- comply with DSP requirements;
- maintain legal, tax, accounting, business,
- and compliance records;
- handle disputes, claims, or legal proceedings;
- enforce this Agreement and related policies.
8. Non-Exclusive Distribution
All Humans Cry acts as a non-exclusive distributor unless a separate written agreement expressly states otherwise.
You may work with other distributors for other releases, provided that doing so does not breach this Agreement, create duplicate delivery conflicts, violate DSP rules, violate third-party distribution partner rules, or interfere with releases that are active through All Humans Cry.
You must not submit the same release to the same DSPs through another distributor while that release is active through All Humans Cry if doing so may cause duplicate delivery, metadata conflicts, profile conflicts, royalty conflicts, takedown conflicts, rights conflicts, or breach of DSP/distributor rules.
You are responsible for any duplicate delivery conflicts, royalty conflicts, metadata conflicts, takedown conflicts, profile conflicts, or partner issues caused by submitting the same release through another distributor.
All Humans Cry may reject, delay, suspend, remove, or takedown releases if duplicate delivery or conflicting distribution creates risk or operational issues.
9. Territory and Platforms
Distribution may be worldwide, subject to availability, rights, territories, platform rules, distribution partner rules, content type, licensing restrictions, local law, sanctions, technical limitations, and All Humans Cry’s business decisions.
Distribution may include platforms such as:
- Spotify;
- Apple Music;
- YouTube Music;
- TikTok;
- Instagram;
- Facebook;
- Deezer;
- Amazon Music;
- Tidal;
- Pandora;
- SoundCloud;
- Snapchat;
- other DSPs, stores, social platforms, and services available through All Humans Cry’s distribution partners.
All Humans Cry does not guarantee delivery to any specific platform, DSP, country, territory, store, or monetization channel. Platform availability may change at any time.
10. Services Included
Depending on the user’s plan, eligibility, platform availability, partner approval, and service availability, All Humans Cry may provide or facilitate:
- digital music distribution;
- royalty collection;
- royalty payout administration;
- release submission;
- metadata processing;
- cover art review;
- ISRC/UPC generation, display, or administration through a third-party distribution partner;
- artist support;
- analytics and dashboard access;
- YouTube Content ID services;
- TikTok, Instagram, Facebook, and other social monetization services;
- playlist pitching;
- marketing support;
- other related services.
Some services may be optional, paid separately, limited to verified users, subject to approval, subject to availability, or governed by separate terms.
11. YouTube Content ID and Social Monetization
YouTube Content ID, TikTok monetization, Instagram monetization, Facebook monetization, and other social platform monetization services are optional and subject to approval by All Humans Cry, Too Lost, other distribution partners, DSPs, social platforms, Content ID providers, or relevant rights-management systems.
You must have all exclusive rights and permissions necessary to submit content for YouTube Content ID or similar rights-management systems. You must not submit content for Content ID if you do not control the necessary rights.
You are responsible for any false, invalid, excessive, abusive, or unauthorized Content ID claims caused by your content, metadata, ownership claims, or rights information.
All Humans Cry may disable, reject, remove, suspend, or restrict Content ID or social monetization if there are disputes, false claims, cover songs, samples, remixes, non-exclusive beats, rights uncertainty, fraud concerns, platform complaints, distribution partner requests, or legal risk.
TikTok, Instagram, Facebook, and other social monetization services are subject to the rules, availability, reporting, approval, and policy decisions of the relevant platforms and distribution partners.
12. Playlist Pitching and Marketing
Playlist pitching and marketing support may be offered as optional services and may be subject to separate pricing, separate terms, eligibility requirements, and availability.
All Humans Cry does not guarantee streams, followers, saves, playlist placement, editorial placement, algorithmic placement, income, audience growth, social media growth, DSP support, or commercial success.
Users must not use fraudulent marketing services, guaranteed-stream services, bot services, fake listener services, paid engagement farms, or any other service that violates the Anti-Fraud Policy, DSP rules, distribution partner rules, or applicable law.
13. User Warranties
By submitting a release or content to All Humans Cry, you represent and warrant that:
- you own or control all rights necessary to submit, distribute, monetize, and administer the content;
- the content does not infringe or violate any third-party rights;
- all metadata is accurate, complete, truthful, and not misleading;
- you have obtained all permissions, licenses, clearances, and approvals from all relevant parties, including producers, beatmakers, featured artists, songwriters, vocalists, artwork creators, labels, managers, publishers, sample owners, and any other rights holders;
- you are responsible for all samples, beats, remixes, cover songs, artwork, AI content, artist names, label names, logos, and metadata;
- you have the authority to submit the content on behalf of any artist, label, company, or rights holder you represent;
- your content complies with all applicable laws, DSP rules, distribution partner rules, and All Humans Cry policies;
- you will provide proof of rights when requested;
- your use of the services will not involve fraud, artificial streaming, copyright infringement, payment fraud, impersonation, or platform abuse.
14. Proof of Rights
All Humans Cry may request proof of rights, proof of ownership, proof of authorization, identity verification, tax verification, payout verification, company verification, or other documentation at any time.
Failure to provide satisfactory proof or documentation may result in:
- release rejection;
- delivery delay;
- release suspension;
- release takedown;
- royalty freeze;
- payout hold;
- Content ID removal;
- monetization removal;
- dashboard restriction;
- account suspension;
- account termination;
- other action reasonably necessary to protect All Humans Cry, users, rights holders, distribution partners, DSPs, or the public.
15. Content Restrictions
You must not submit content that is:
- infringing;
- stolen;
- leaked;
- unlawful;
- hateful or abusive;
- misleading;
- fraudulent;
- connected to artificial streaming or manipulation;
- based on uncleared samples;
- an unauthorized remix;
- an unauthorized cover song;
- a fake public-domain claim;
- uploaded under a fake artist name;
- impersonating another artist, label, company, brand, or rights holder;
- using fake featured artists;
- using fake collaborations;
- using misleading metadata;
- using copyrighted artwork without permission;
- low-quality AI spam;
- otherwise non-compliant with All Humans Cry policies, distribution partner rules, DSP rules, or applicable law.
All Humans Cry has broad discretion to reject, delay, suspend, remove, or takedown content that creates or may create legal, operational, fraud, copyright, payment, partner, DSP, reputational, or compliance risk.
16. Review, Approval, and Delivery
All Humans Cry manually reviews releases before submitting them to Too Lost or any other distribution partner.
Submission to All Humans Cry does not guarantee approval, delivery, publication, monetization, placement, DSP availability, DSP acceptance, or release on any platform.
All Humans Cry may request edits to metadata, artwork, audio, rights documents, release information, artist information, label information, or other submission details before delivery.
All Humans Cry may reject a release if it violates this Agreement, the Terms of Service, the Anti-Fraud Policy, the Copyright & Takedown Policy, the Royalty & Payout Policy, the Refund & Cancellation Policy, distribution partner rules, DSP rules, or applicable law.
Release dates are estimates only. All Humans Cry does not guarantee exact release dates. Delivery may be delayed for review, rights checks, fraud checks, metadata corrections, artwork issues, distribution partner processing, DSP processing, technical issues, or other reasons.
17. Royalties
All Humans Cry collects royalties from third-party distribution partners and pays eligible users in accordance with the Royalty & Payout Policy.
Users are not paid directly by Too Lost, DSPs, or other distribution partners unless All Humans Cry expressly agrees otherwise in writing.
Royalties are only payable after All Humans Cry has received, cleared, processed, and reflected the relevant funds in the user’s available balance.
The minimum payout threshold is currently USD $25, unless changed in accordance with the Royalty & Payout Policy.
All Humans Cry takes no royalty commission unless expressly agreed otherwise in writing.
Royalties may be subject to payout fees, payment provider fees, currency conversion costs, deductions, reversals, fraud holds, copyright holds, negative balances, payout verification, tax checks, partner deductions, DSP deductions, chargebacks, and other adjustments described in the Royalty & Payout Policy.
18. Takedowns
Users may request takedowns through the dashboard, release management area, or takedown section where available.
All Humans Cry may takedown, remove, suspend, disable, or restrict releases for reasons including but not limited to:
- breach of this Agreement;
- breach of the Terms of Service;
- fraud;
- artificial streaming;
- copyright issue;
- ownership dispute;
- metadata issue;
- non-payment;
- subscription expiry;
- failed renewal;
- chargeback;
- DSP request;
- distribution partner request;
- legal claim;
- partner requirement;
- operational requirement;
- compliance issue;
- serious account issue.
Takedown timing depends on Too Lost, DSPs, distribution partners, technical systems, platform processing, store rules, caches, user libraries, playlists, social platforms, and other third-party systems.
All Humans Cry does not guarantee exact takedown timing.
19. Subscription and Active Releases
Access to distribution services depends on an active subscription unless All Humans Cry expressly agrees otherwise in writing.
If a subscription is cancelled, releases may remain live during the current paid subscription period, provided that the account remains in good standing.
After the paid subscription period ends, releases may remain live for a grace period, but All Humans Cry may later takedown releases if the subscription is not renewed.
Users need an active subscription to request royalty withdrawals, unless All Humans Cry expressly allows otherwise in writing or mandatory law requires otherwise.
All Humans Cry may restrict dashboard access, upload access, payout access, support access, analytics access, and other service features after cancellation, non-payment, failed renewal, account restriction, or account termination.
20. Term and Termination
This Agreement begins when you create an account, accept the Agreement, submit your first release, request distribution, use monetization services, or otherwise use All Humans Cry’s distribution services, whichever occurs first.
You may terminate your use of distribution services by cancelling your subscription and requesting takedown of your releases, subject to any outstanding obligations, royalty processing, takedown processing, fraud investigations, copyright claims, payment issues, negative balances, and legal requirements.
All Humans Cry may suspend or terminate this Agreement, an account, or any service immediately for serious breach.
Serious breach includes, but is not limited to:
- fraud;
- artificial streaming;
- copyright infringement;
- payment fraud;
- chargebacks;
- fake identity;
- fake tax details;
- fake payout details;
- misleading metadata;
- abuse of support;
- DSP complaints;
- distribution partner complaints;
- illegal content;
- non-payment;
- repeated rejected releases;
- repeat infringement;
- breach of this Agreement;
- breach of any incorporated policy.
21. Effect of Termination
Upon termination, All Humans Cry may:
- restrict dashboard access;
- restrict upload access;
- restrict payout access;
- freeze royalties;
- suspend services;
- takedown releases;
- remove Content ID or social monetization;
- preserve records;
- continue investigations;
- process deductions, reversals, or negative balances;
- report matters to DSPs, distribution partners, payment providers, rights holders, or authorities where appropriate.
Termination does not affect rights or obligations that accrued before termination.
Sections relating to license survival, royalties, deductions, claims, disputes, takedowns, fraud investigations, copyright claims, proof of rights, indemnity, limitation of liability, disclaimers, recordkeeping, governing law, and enforcement survive termination as necessary.
22. Indemnification
To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless All Humans Cry, its owner, representatives, contractors, partners, service providers, and affiliates from and against any claims, complaints, damages, losses, liabilities, penalties, fines, deductions, reversals, chargebacks, settlements, costs, and expenses, including reasonable legal and administrative costs, arising out of or related to:
- your content;
- your releases;
- your metadata;
- your artwork;
- your artist name, label name, logo, or branding;
- your samples, beats, remixes, cover songs, AI content, or Content ID claims;
- your breach of this Agreement;
- your breach of any incorporated policy;
- your fraud or artificial streaming;
- your payment or payout activity;
- your copyright, trademark, ownership, or rights disputes;
- your false or misleading information;
- your failure to obtain required rights, licenses, permissions, or approvals;
- penalties, deductions, reversals, or claims imposed by DSPs, distribution partners, payment providers, rights holders, or authorities because of your content or conduct.
23. Disclaimers
All Humans Cry provides distribution services through third-party distribution partners. We do not guarantee DSP approval, DSP availability, release dates, takedown timing, playlist placement, streams, saves, followers, income, royalties, marketing results, Content ID approval, social monetization approval, artist verification, or commercial success.
All Humans Cry is not responsible for DSP rejection, release delay, takedown delay, playlist failure, income failure, royalty reporting issues, third-party distributor errors, platform policy changes, payment delays, unavailable platforms, or third-party enforcement actions, except to the extent caused by our own intentional misconduct or gross negligence where such liability cannot be excluded by law.
24. Limitation of Liability
To the fullest extent permitted by law, All Humans Cry’s total aggregate liability arising out of or relating to this Agreement, the services, your account, or your releases will not exceed the amount of fees paid by you to All Humans Cry during the three months immediately preceding the event giving rise to the claim.
All Humans Cry will not be liable for indirect, incidental, consequential, special, exemplary, punitive, or similar damages, including lost profits, lost royalties, lost streams, lost followers, lost playlist opportunities, lost business opportunities, loss of goodwill, release delays, DSP rejections, reporting errors, payment delays, platform downtime, content removal, or partner policy changes.
Nothing in this Agreement excludes or limits liability where such exclusion or limitation is not permitted under mandatory applicable law.
25. Electronic Acceptance and Records
Users may be required to accept this Agreement by checkbox during account creation, subscription purchase, release submission, distribution request, monetization request, or other relevant actions.
All Humans Cry may store records of acceptance, including:
- user ID;
- timestamp;
- IP address;
- Agreement version;
- checkbox text;
- accepted terms text;
- account activity;
- release submission activity.
You agree that electronic records, checkbox confirmations, account creation, subscription purchase, release submission, use of monetization services, and continued use of the services may be used as evidence of acceptance where permitted by applicable law.
Continued use of distribution services after an updated version of this Agreement becomes effective constitutes acceptance of the updated Agreement, unless mandatory law requires a different process.
26. Changes to this Agreement
All Humans Cry may update this Agreement from time to time for legal, operational, DSP, distribution partner, payment, copyright, fraud prevention, compliance, service, or business reasons.
If changes are material, All Humans Cry may notify users by email, dashboard notice, website notice, updated agreement publication, or renewed acceptance requirement.
Continued use of the services after the updated Agreement becomes effective constitutes acceptance of the updated Agreement, unless mandatory law requires a different process.
27. Governing Law
This Agreement is governed by the laws of the Netherlands, unless mandatory law requires otherwise.
Any dispute arising out of or relating to this Agreement will be handled in accordance with the dispute resolution and governing law provisions in the Terms of Service.
