These Terms of Service (the “Terms”) govern your access to and use of the website, platform, dashboard, upload tools, support services, distribution services, royalty-related services, and other services offered by All Humans Cry (“All Humans Cry,” “we,” “us,” or “our”) through allhumanscry.com and any related services, features, forms, pages, systems, communications, or tools provided by us.

By creating an account, purchasing a subscription, submitting a release, requesting a payout, using the dashboard, contacting support, or otherwise using our services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use our services.

These Terms are intended to operate together with any additional policies made available by All Humans Cry, including but not limited to our Privacy Policy, Cookie Policy, Anti-Fraud Policy, Royalty & Payout Policy, Refund Policy, Copyright & Takedown Policy, Distribution Agreement, Content Guidelines, and any other policy or service-specific terms published by us. Where applicable, those documents form part of your agreement with All Humans Cry.

 

1. Definitions

For the purposes of these Terms:

“Account” means the user account created by you on our website or platform.

“Artist,” “User,” “Client,” “you,” or “your” means any person, artist, label, manager, representative, company, rights holder, or other party using the services of All Humans Cry.

“Content” means any music, sound recording, composition, lyrics, metadata, artist name, artwork, image, video, text, logo, files, documents, information, or other material submitted, uploaded, provided, or made available by you.

“Digital Service Provider” or “DSP” means a third-party music platform, store, streaming service, social media platform, content monetization platform, or other destination where music may be delivered, made available, monetized, or reported, including but not limited to platforms such as Spotify, Apple Music, YouTube Music, TikTok, Instagram, Facebook, Deezer, Amazon Music, and similar services.

“Distribution Partner” means a third-party distributor, aggregator, service provider, technology provider, or other partner used by All Humans Cry to deliver, process, monetize, administer, report, or manage music and related data. At the time of these Terms, All Humans Cry may use Too Lost as a third-party distribution partner, but we may use, add, replace, or remove distribution partners at our discretion.

“Release” means any single, EP, album, track, music video, audio file, or other music-related product submitted by you for distribution, monetization, or processing.

“Royalties” means income, revenue, or other amounts reported and paid to All Humans Cry by Distribution Partners, DSPs, or other third parties in connection with your Releases, after any applicable deductions, reversals, corrections, penalties, fees, taxes, chargebacks, or adjustments.

“Services” means the services provided by All Humans Cry, including music distribution through third-party distribution partners, royalty collection, royalty payout administration, release submission, metadata processing, cover art review, ISRC/UPC display or administration where available, artist support, analytics/dashboard access, YouTube Content ID services where available, TikTok/Instagram/Facebook monetization where available, playlist pitching, marketing support, and any related service offered by us.

 

2. About All Humans Cry and Our Role

All Humans Cry provides music distribution services through third-party distribution partners. We do not currently hold direct contracts with DSPs. Instead, we act as an intermediary service provider that receives Releases and related Content from users, reviews and processes them, and then submits approved Releases to our third-party Distribution Partners for delivery to selected DSPs and platforms.

You acknowledge and agree that All Humans Cry is not Spotify, Apple Music, YouTube Music, TikTok, Instagram, Facebook, Deezer, Amazon Music, or any other DSP. We are not directly affiliated with, endorsed by, sponsored by, or controlled by any such DSP unless expressly stated in writing by us.

The availability of DSPs, territories, monetization features, content categories, reporting, royalty rates, payment timelines, takedown timelines, profile tools, analytics, Content ID services, social monetization services, and other features depends on third-party Distribution Partners, DSPs, payment providers, and other external parties. Such third parties may change, suspend, reject, delay, remove, limit, or discontinue services at any time.

We will use commercially reasonable efforts to provide the Services, but we do not control and cannot guarantee the actions, policies, decisions, technical systems, review timelines, reporting accuracy, payout timelines, monetization decisions, or continued availability of any Distribution Partner or DSP.

 

3. Eligibility

You must be at least 18 years old to create an Account or use the Services. By using the Services, you represent and warrant that you are at least 18 years old and legally capable of entering into a binding agreement.

If you use the Services on behalf of a company, label, artist, band, manager, agency, rights holder, or other legal entity, you represent and warrant that you have full authority to bind that party to these Terms. If you manage or submit Content on behalf of one or more artists, you represent and warrant that you have all necessary permissions, authorizations, agreements, and legal authority to do so.

We may refuse, suspend, restrict, or terminate access to the Services if we reasonably believe that you are not eligible to use the Services, that you lack the required authority, or that your use of the Services creates legal, financial, reputational, operational, fraud, copyright, or partner-related risk.

 

4. Account Registration and Verification

To use certain Services, you must create an Account. You agree to provide accurate, current, complete, and truthful information when creating and maintaining your Account. This may include your full name, email address, password, address, phone number, payout details, tax details, and company details where applicable.

Accounts are created through our website. Users must verify their email address after registration. If an email address is not successfully verified within the required verification period, which may be up to 24 hours after creation, the Account may be automatically deleted or restricted.

You are responsible for maintaining the confidentiality and security of your login credentials. You must not share your Account credentials with unauthorized persons. You are responsible for all activity occurring under your Account, whether or not authorized by you, unless caused by our own intentional misconduct or gross negligence.

Passwords are stored using security measures designed to protect account credentials. We do not have access to your plain-text password. However, you remain responsible for choosing a secure password, keeping your credentials confidential, and notifying us promptly if you suspect unauthorized access.

You must keep your contact details, payout details, tax information, and other Account information accurate and up to date. We are not responsible for failed payouts, delayed communications, rejected payments, tax issues, or other consequences caused by inaccurate, outdated, incomplete, or misleading information provided by you.

You may not create or operate multiple Accounts unless expressly approved by All Humans Cry. If you need permission to operate multiple Accounts, you must contact us through our official ticket system where available, or by email at support@allhumanscry.com if you do not have an active Account or subscription. Creating multiple Accounts to avoid restrictions, bypass limits, hide fraud, avoid fees, evade enforcement, or misrepresent identity is strictly prohibited.

We may suspend, restrict, log out, disable, or terminate Accounts that contain false information, are used in breach of these Terms, are connected to artificial streaming or fraud, or otherwise create legal, operational, payment, copyright, partner, or reputational risk.

 

5. Services

All Humans Cry may provide, make available, or assist with the following Services:

  • digital music distribution through third-party Distribution Partners;
  • royalty collection and royalty payout administration;
  • release submission and processing;
  • metadata processing;
  • cover art review;
  • display or administration of ISRCs and UPCs where generated or provided by a Distribution Partner;
  • artist support;
  • analytics or dashboard access where available;
  • YouTube Content ID services where available and approved;
  • TikTok, Instagram, Facebook, or other social monetization services where available and approved;
  • playlist pitching services;
  • marketing support services; and
  • other related services offered by All Humans Cry.

 

The Services are handled and reviewed by All Humans Cry. Users may upload Releases through our platform. We may review, verify, approve, reject, or request changes to Releases before they are submitted to a third-party Distribution Partner. After approval by All Humans Cry, a Release may be submitted to the relevant Distribution Partner for distribution to the DSPs or services selected by the user, subject to the availability, rules, and approval processes of the Distribution Partner and DSPs.

We may change, improve, suspend, discontinue, replace, or limit any part of the Services at any time, including available plans, features, DSPs, monetization options, dashboard tools, upload rules, support channels, and Distribution Partners.

The Services are generally available worldwide, unless restricted by law, sanctions, payment limitations, partner restrictions, DSP limitations, fraud risk, technical limitations, or our own service availability decisions.

 

6. No Guarantees

You acknowledge and agree that All Humans Cry does not guarantee:

  • acceptance of any Release by All Humans Cry, any Distribution Partner, or any DSP;
  • delivery to any specific DSP;
  • availability of any DSP or monetization feature;
  • a specific release date;
  • processing within a specific timeframe;
  • artist verification;
  • artist profile access or control;
  • editorial playlist placement;
  • algorithmic playlist placement;
  • marketing performance;
  • number of streams, views, saves, followers, Shazams, likes, shares, or other engagement;
  • income, royalties, revenue, profit, or commercial success;
  • uninterrupted dashboard access;
  • uninterrupted availability of third-party systems;
  • correction of all DSP errors;
  • permanent availability of Releases after cancellation, non-payment, termination, partner changes, or DSP policy changes.

 

Any estimated timelines, royalty projections, analytics, performance indicators, or expected outcomes provided by us are informational only and are not binding guarantees.

 

7. Third-Party Distribution Partners and DSP Rules

You acknowledge that the Services depend on Distribution Partners, DSPs, payment processors, hosting providers, analytics providers, and other third-party service providers. By using the Services, you agree to comply with all applicable rules, terms, guidelines, technical requirements, fraud policies, copyright policies, metadata rules, content rules, payment rules, and platform policies of All Humans Cry, our Distribution Partners, and DSPs.

We may use Too Lost or any other Distribution Partner to provide the Services. We may add, remove, replace, or migrate between Distribution Partners at any time. We may do this for business, technical, legal, financial, fraud prevention, service continuity, policy, royalty, reporting, or operational reasons.

You authorize All Humans Cry to submit, transmit, process, store, encode, modify format, provide metadata for, administer, monetize, takedown, migrate, and otherwise handle your Releases through Distribution Partners and related third parties as necessary to provide the Services.

If a Distribution Partner or DSP rejects, delays, blocks, hides, demonetizes, removes, withholds royalties for, penalizes, flags, suspends, or otherwise acts against a Release, Account, royalty balance, or service feature, All Humans Cry may take corresponding action on your Account or Release. We are not liable for the independent acts, omissions, systems, rules, delays, errors, decisions, policy changes, reporting changes, payment delays, or enforcement actions of Distribution Partners or DSPs, except to the extent caused directly by our own intentional misconduct or gross negligence.

If a Distribution Partner or DSP changes its policies or requirements, those changes may affect your Releases, royalties, services, obligations, or access. You agree that such third-party rules and changes may apply to you through your use of our Services.

 

8. Release Submission and Review

You may submit Releases through the platform where available. Submission does not guarantee approval, delivery, publication, monetization, or acceptance by any Distribution Partner or DSP.

All Humans Cry reserves the right to review, reject, delay, request edits to, suspend, or remove any Release if we reasonably believe that the Release:

  • violates these Terms or any applicable policy;
  • may infringe copyright, trademark, personality rights, privacy rights, publicity rights, moral rights, or other rights;
  • contains inaccurate, misleading, incomplete, or non-compliant metadata;
  • contains artwork, samples, beats, vocals, remixes, covers, or other material for which rights are unclear;
  • may be connected to artificial streaming, fraud, manipulation, impersonation, or suspicious activity;
  • violates Distribution Partner or DSP rules;
  • creates legal, financial, operational, reputational, payment, or platform risk;
  • is unlawful, harmful, abusive, misleading, or otherwise inappropriate for distribution.

 

We may request additional information or documents before approving, delivering, monetizing, or continuing to distribute a Release. Failure to provide requested information or documents may result in rejection, suspension, removal, royalty withholding, or Account action.

 

9. Ownership and License

As between you and All Humans Cry, you retain ownership of the rights you lawfully own in your Content. All Humans Cry does not claim ownership of your master recordings, compositions, artist names, artwork, metadata, or other Content solely because you use the Services.

By submitting Content to All Humans Cry, you grant All Humans Cry a worldwide, non-exclusive, sublicensable, transferable, royalty-administering license to use, reproduce, distribute, transmit, encode, host, store, format, reformat, adapt for technical purposes, display, publicly perform, make available, monetize, administer, collect royalties for, report on, takedown, migrate, and otherwise exploit the Content solely as necessary or reasonably useful to provide the Services, comply with these Terms, comply with Distribution Partner and DSP requirements, collect and administer royalties, process claims, investigate fraud, maintain records, enforce rights, and comply with law.

This license includes the right for All Humans Cry to sublicense relevant rights to Distribution Partners, DSPs, payment providers, content identification services, social monetization services, technology providers, and other service providers where necessary to provide the Services.

The license continues for as long as your Content is active through the Services and for a reasonable period afterward as necessary to process takedowns, collect and pay royalties, handle reversals and corrections, respond to disputes, investigate fraud, resolve copyright claims, comply with legal obligations, maintain business records, and enforce these Terms.

You must not submit the same Release to the same DSP through multiple distributors while that Release is active through All Humans Cry if doing so causes duplicate delivery, metadata conflicts, profile conflicts, royalty conflicts, takedown conflicts, or violation of Distribution Partner or DSP rules.

 

10. Your Representations and Warranties

By submitting Content or using the Services, you represent and warrant that:

  1. you are at least 18 years old and legally able to enter into these Terms;
  2. all information you provide to us is accurate, complete, current, and not misleading;
  3. you own or control all rights necessary to submit, distribute, monetize, and administer the Content;
  4. you have obtained all required permissions, licenses, clearances, consents, and waivers from all relevant parties, including producers, songwriters, featured artists, beatmakers, sample owners, vocalists, artwork creators, photographers, designers, managers, labels, publishers, and any other rights holders;
  5. your Content does not infringe or violate copyright, neighboring rights, trademark rights, personality rights, publicity rights, privacy rights, moral rights, contractual rights, or any other rights of any person or entity;
  6. your metadata, credits, artist names, titles, labels, ownership claims, release information, tax information, and payout information are accurate and not misleading;
  7. your Content and use of the Services do not violate any law, regulation, court order, sanctions rule, Distribution Partner rule, DSP rule, or third-party policy;
  8. you will not engage in artificial streaming, stream manipulation, fraud, payment fraud, copyright abuse, impersonation, fake metadata, or other deceptive activity;
  9. where you act on behalf of an artist, label, company, or rights holder, you have authority to do so;
  10. you will comply with these Terms and all applicable policies incorporated into them.

 

11. Proof of Rights and Documentation

All Humans Cry may request proof of rights, identity, authority, or ownership at any time. This may include signed agreements, licenses, beat licenses, sample clearances, producer agreements, featured artist approvals, songwriter approvals, vocalist permissions, artwork licenses, label agreements, manager authorizations, copyright registrations, identification documents, company documents, tax documents, or other evidence reasonably requested by us.

Where documentation concerns permissions from producers, songwriters, featured artists, beatmakers, sample owners, vocalists, artwork creators, managers, labels, or other rights holders, the documentation should identify the relevant parties, describe the permission granted, be signed where applicable, and include accurate and current contact information where reasonably necessary for verification.

If you fail to provide satisfactory proof of rights, authority, identity, or other requested documentation, All Humans Cry may reject, delay, suspend, remove, or takedown Releases, freeze or withhold royalties, restrict Account access, suspend Services, terminate your Account, or take other reasonable action.

 

12. Prohibited Conduct

You must not use the Services to:

  • upload, submit, distribute, or monetize Content you do not own or control;
  • upload stolen, leaked, infringing, unauthorized, misleading, fraudulent, illegal, harmful, or deceptive Content;
  • impersonate another artist, label, person, company, or rights holder;
  • use misleading artist names, featured artist names, label names, release titles, copyright lines, artwork, or metadata;
  • engage in artificial streaming, stream manipulation, botting, fake saves, fake followers, fake engagement, click farms, stream farms, incentivized listening, proxy/VPN manipulation, or other fraudulent activity;
  • use third-party services that promise or provide guaranteed streams, playlist placement, followers, saves, plays, or artificial engagement;
  • submit false payout details, false tax details, false identity details, or false company information;
    commit payment fraud, initiate improper chargebacks, or avoid payment obligations;
  • interfere with, damage, reverse engineer, scrape, overload, test without permission, or attempt to gain unauthorized access to the website, dashboard, systems, or Services;
  • abuse support channels, threaten staff, harass All Humans Cry, or act in a way that disrupts the Services;
  • create multiple Accounts without permission;
  • resell, sublicense, or commercially exploit the Services without our written approval;
  • violate any applicable law, regulation, third-party rights, Distribution Partner rule, DSP rule, or All Humans Cry policy.

 

Additional prohibited conduct may be described in our Anti-Fraud Policy, Copyright & Takedown Policy, Content Guidelines, and other applicable policies.

 

13. Fraud, Artificial Streaming, and Abuse

All Humans Cry maintains a strict position against artificial streaming, fraud, manipulation, impersonation, and abuse. Fraud and artificial activity damage artists, DSPs, distributors, rights holders, and the wider music ecosystem.

If we reasonably suspect fraud, artificial streaming, payment abuse, copyright abuse, false identity, suspicious metadata, suspicious royalty activity, suspicious account behavior, or any other abuse, we may investigate and take action. Such action may include requesting information, requesting proof of rights, delaying distribution, suspending Releases, freezing royalties, withholding payouts, removing Releases, suspending Account access, terminating the Account, reporting activity to Distribution Partners, DSPs, payment providers, rights holders, or authorities, and deducting or passing through penalties, reversals, chargebacks, fees, and related costs.

If a Distribution Partner or DSP determines, alleges, reports, or reasonably suspects that your Release or Account is connected to artificial streaming, fraud, or other abuse, All Humans Cry may rely on that information and take corresponding action under these Terms.

Royalties connected to suspected or confirmed fraud may be delayed, withheld, reversed, forfeited, deducted, or otherwise handled in accordance with these Terms, the Anti-Fraud Policy, the Royalty & Payout Policy, Distribution Partner rules, DSP rules, and applicable law.

 

14. Royalties and Payouts

All Humans Cry collects royalties from third-party Distribution Partners and pays eligible users after funds have been received by All Humans Cry, processed, made available, and requested for withdrawal by the user in accordance with our payout rules.

Users are not paid directly by the Distribution Partner unless otherwise agreed in writing. Royalties are paid by All Humans Cry only after All Humans Cry has received the corresponding funds from the relevant Distribution Partner and the user has satisfied all applicable payout requirements.

The minimum payout threshold is USD $25, unless changed by us or specified differently in a separate policy, plan, or agreement. Payouts are made on request, subject to availability of funds, verification, minimum threshold, payout method requirements, tax requirements, fraud checks, and any applicable holds, deductions, or adjustments.

Royalty reports and royalty balances may be delayed, estimated, corrected, adjusted, reversed, withheld, or reduced by Distribution Partners, DSPs, payment providers, or All Humans Cry. You acknowledge that royalties may be affected by third-party reporting delays, fraud investigations, copyright claims, refunds, chargebacks, taxes, currency conversion, payment processor fees, DSP deductions, Distribution Partner deductions, penalties, and other adjustments.

All Humans Cry may withhold or delay royalties and payouts if:

  • we have not yet received the relevant funds from the Distribution Partner;
  • the payout threshold has not been reached;
  • required payout, tax, identity, or account information is missing or inaccurate;
  • there is suspected fraud, artificial streaming, payment abuse, or suspicious activity;
  • there is a copyright, ownership, metadata, or rights dispute;
  • a Distribution Partner or DSP withholds, reverses, deducts, or investigates royalties;
  • there is a chargeback, failed payment, unpaid subscription, unpaid fee, negative balance, or debt owed to All Humans Cry;
  • payment would violate law, sanctions, tax obligations, partner rules, or risk controls;
  • your Account is suspended or under review.

 

If royalties are reversed, adjusted, deducted, charged back, or determined to have been overpaid after we have already paid you, All Humans Cry may deduct the corresponding amount from future royalties, require repayment, offset amounts against your Account balance, or take other reasonable collection action.

Payment provider fees, payout fees, currency conversion fees, or similar charges may be deducted from payouts. All Humans Cry only intends to deduct the amount charged by the payment provider for sending the payout, unless otherwise stated in a separate policy or agreement.

Detailed royalty and payout rules may be provided in a separate Royalty & Payout Policy. In case of a conflict between these Terms and the Royalty & Payout Policy, the more specific royalty provision will apply, unless prohibited by mandatory law.

 

15. Subscriptions, Fees, and Payment

All Humans Cry offers yearly subscription plans, including plans currently known as Artist, Label, and Label+, as well as custom label plans where pricing may be agreed separately. We may also offer playlist pitching, marketing support, or other paid services.

Subscriptions are automatically renewed unless cancelled by the user before renewal. You authorize All Humans Cry and our payment processor, currently Stripe, to charge applicable subscription fees, renewal fees, and other agreed fees using your selected payment method.

You may cancel your subscription at any time, but cancellation does not automatically entitle you to a refund, partial refund, or release from accrued obligations. Cancellation prevents future renewal charges, subject to the rules of the payment provider and the timing of cancellation.

If payment fails, is reversed, is charged back, or remains unpaid, All Humans Cry may suspend or restrict access to the dashboard, uploader, analytics, account tools, release tools, payout tools, support features, and other Services. We may also deduct unpaid fees from future royalties, where permitted by law and these Terms.

If a subscription is cancelled, expires, fails to renew, or remains unpaid, active Releases may remain live for a grace period, but they may be taken down after a period depending on Distribution Partner requirements, uptime fees, account status, plan terms, operational limitations, or our business decision. We do not guarantee permanent availability of Releases after cancellation, non-renewal, payment failure, or termination.

We may change prices, plans, features, payment methods, renewal terms, and available packages from time to time. Where legally required or commercially reasonable, we will provide notice of material changes.

 

16. Refunds and Chargebacks

Refunds may be available only in limited circumstances. Unless otherwise stated in a separate Refund Policy, a refund may be considered if a user has not submitted any songs or if none of the user’s songs are approved within the first month of the subscription.

Fees become non-refundable once a Release has been submitted, reviewed, processed, delivered, approved, or otherwise handled by All Humans Cry or a Distribution Partner. Fees are also non-refundable where rejection, suspension, removal, or termination results from the user’s breach of these Terms, fraud, artificial streaming, infringing Content, false information, misleading metadata, missing proof of rights, payment abuse, chargeback, or other user-caused issue.

All Humans Cry does not offer partial refunds for unused subscription periods unless required by mandatory law or expressly agreed in writing.

Improper chargebacks, payment disputes, or payment reversals may result in suspension of Services, Account restriction, royalty withholding, release removal, deduction of fees from future royalties, and termination of the Account.

Nothing in these Terms limits any non-waivable consumer rights that may apply under mandatory law.

 

17. Takedowns, Content Removal, and Service Restrictions

Users may request takedowns of Releases. All Humans Cry does not currently charge a takedown fee, but we may introduce or change fees in the future where permitted and disclosed.

Takedown timing depends on Distribution Partners and DSPs. We do not guarantee that takedowns will occur within a specific timeframe, that all DSPs will process takedowns simultaneously, or that removed Content will immediately disappear from all stores, caches, search results, social platforms, user libraries, playlists, or third-party systems.

All Humans Cry may remove, suspend, block, hide, restrict, or takedown Content if:

  • the Content violates these Terms or any applicable policy;
  • the Content violates Distribution Partner or DSP rules;
  • a Distribution Partner or DSP requests removal;
  • a copyright, ownership, fraud, payment, identity, or metadata issue exists;
  • a legal claim, complaint, or investigation exists;
  • the Account is terminated, suspended, unpaid, or in breach;
  • removal is necessary to protect All Humans Cry, users, rights holders, partners, DSPs, or the public.

 

If an Account is terminated for serious breach, all Releases linked to that Account may be taken down.

 

18. Termination and Suspension

You may stop using the Services or request Account closure, subject to any outstanding obligations, active Releases, royalty processing, fraud investigations, copyright claims, payment obligations, tax obligations, or legal requirements.

All Humans Cry may suspend, restrict, or terminate your Account or Services immediately, with or without prior notice, if we reasonably believe that you have committed a serious breach. Serious breaches include but are not limited to:

  • fraud;
  • artificial streaming;
  • copyright infringement;
  • false identity;
  • payment fraud;
  • chargebacks;
  • abusive behavior;
  • illegal Content;
  • misleading metadata;
  • DSP or Distribution Partner complaints;
  • fake, false, inaccurate, or misleading tax details;
  • failure to provide proof of rights;
  • breach of these Terms or incorporated policies.

 

Upon suspension or termination, we may restrict dashboard access, disable uploading, suspend payout requests, freeze royalties, remove Releases, preserve records, continue investigations, deduct outstanding amounts, and take other reasonable actions.

Termination does not affect any rights or obligations that accrued before termination. Sections relating to ownership, license survival, royalties, deductions, payment obligations, fraud investigations, copyright claims, indemnity, limitation of liability, disclaimers, governing law, dispute resolution, data retention, and enforcement will survive termination to the extent necessary.

 

19. Privacy and Data Protection

Your use of the Services may involve the processing of personal data. We process personal data in accordance with our Privacy Policy and Cookie Policy.

You acknowledge that we may process account data, contact data, payout data, tax data, release data, metadata, support communications, fraud risk data, technical data, and other information necessary to provide the Services, comply with law, prevent abuse, process royalties, handle disputes, and enforce these Terms.

You also acknowledge that certain data may be shared with Distribution Partners, DSPs, payment providers, hosting providers, analytics providers, professional advisors, authorities, rights holders, or other third parties where necessary to provide the Services, comply with law, handle claims, prevent fraud, process payouts, or enforce these Terms.

20. Intellectual Property of All Humans Cry

All Humans Cry retains all rights, title, and interest in and to the website, platform, dashboard, software, design, branding, trade names, logos, text, graphics, systems, processes, databases, documentation, and other materials created or owned by All Humans Cry, excluding your Content.

You may not copy, reproduce, modify, reverse engineer, distribute, sell, rent, sublicense, scrape, or exploit any part of the Services or All Humans Cry materials unless expressly permitted by us in writing.

Nothing in these Terms grants you ownership of All Humans Cry intellectual property.

 

21. Third-Party Links, Tools, and Services

The Services may contain links to, integrations with, or reliance on third-party websites, services, software, payment processors, analytics tools, hosting providers, Distribution Partners, DSPs, support tools, or other external services.

All Humans Cry is not responsible for third-party services, websites, content, terms, privacy practices, policies, errors, delays, security incidents, outages, or decisions. Your use of third-party services may be subject to separate terms and policies.

 

22. Indemnification

To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless All Humans Cry, its owner, representatives, contractors, service providers, partners, and affiliates from and against any claims, demands, damages, losses, liabilities, penalties, fines, settlements, costs, and expenses, including reasonable legal fees, arising out of or related to:

  • your Content;
    your breach of these Terms or any incorporated policy;
  • your breach of any representation or warranty;
  • copyright, trademark, privacy, publicity, moral rights, contractual, or other rights claims relating to your Content;
  • fraud, artificial streaming, payment abuse, or suspicious activity connected to your Account or Releases;
  • inaccurate metadata, false ownership claims, false tax details, or false payout information;
  • your failure to obtain required permissions, licenses, clearances, or consents;
  • your use of the Services;
  • disputes between you and artists, producers, labels, managers, songwriters, beatmakers, vocalists, artwork creators, publishers, rights holders, or other third parties;
  • penalties, deductions, chargebacks, reversals, or claims imposed by Distribution Partners, DSPs, payment providers, or authorities because of your conduct or Content.

 

We may control the defense of any claim at your expense where reasonably necessary to protect our interests. You must cooperate with us in handling any claim.

 

23. Disclaimers

The Services are provided on an “as is” and “as available” basis to the fullest extent permitted by law. We do not warrant that the Services will be uninterrupted, error-free, secure, timely, profitable, accepted by DSPs, or free from third-party delays, reporting errors, outages, removals, or policy changes.

All Humans Cry does not provide legal, tax, accounting, copyright clearance, financial, investment, or professional advice. Any information provided by us is general and operational in nature. You are responsible for obtaining your own legal, tax, accounting, copyright, and professional advice.

We do not guarantee any commercial outcome, royalty amount, DSP approval, release date, platform availability, playlist result, artist verification, marketing result, audience growth, or income.

 

24. Limitation of Liability

To the fullest extent permitted by applicable law, All Humans Cry will not be liable for indirect, incidental, consequential, special, exemplary, punitive, or similar damages, including lost profits, lost royalties, lost streams, lost followers, lost playlist opportunities, lost business opportunities, loss of goodwill, loss of data, release delays, DSP rejections, Distribution Partner errors, DSP reporting errors, payment delays, platform downtime, metadata mistakes caused by users, fraud investigations, content removals required by partners, or other damages arising out of or relating to the Services.

To the fullest extent permitted by law, the total aggregate liability of All Humans Cry arising out of or relating to these Terms or the Services will not exceed the amount of fees paid by the relevant user to All Humans Cry during the three months immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability where such exclusion or limitation is not permitted under mandatory applicable law, including liability for intentional misconduct or gross negligence where such liability cannot be excluded.

 

25. Consumer Rights

The Services may be used by consumers, artists, labels, and business users. If you qualify as a consumer under applicable mandatory law, you may have rights that cannot be excluded, restricted, or waived by contract. Nothing in these Terms is intended to limit such non-waivable rights.

Where digital services begin immediately or where work has started after your purchase or subscription, refund or withdrawal rights may be limited to the extent permitted by applicable law. Additional details may be provided in our Refund Policy or checkout flow.

 

26. Changes to the Services and Terms

We may update these Terms from time to time. Changes may be made for legal, operational, technical, fraud prevention, payment, partner, DSP, service, or business reasons.

If changes are material, we may notify users by email, dashboard notice, website notice, or by requiring renewed acceptance. Continued use of the Services after updated Terms become effective constitutes acceptance of the updated Terms, unless mandatory law requires a different process.

You are responsible for reviewing the Terms periodically. The “Last updated” date at the top of these Terms indicates the date of the latest version.

 

27. Notices and Communications

You agree that All Humans Cry may contact you by email, dashboard notice, support ticket, website notice, or other reasonable means regarding your Account, Releases, royalties, payments, claims, fraud investigations, copyright issues, legal notices, service updates, and changes to these Terms.

You must keep your email address and contact information accurate and up to date. Notices sent to the email address associated with your Account will be considered received unless delivery fails due to our error.

You may contact All Humans Cry at support@allhumanscry.com. Users with an active Account and subscription may also contact us through the official ticket system where available.

 

28. Dispute Resolution

Before starting legal proceedings, you agree to contact All Humans Cry at support@allhumanscry.com and provide a reasonable description of the dispute. You agree to give All Humans Cry 30 days to investigate and attempt to resolve the matter informally, unless urgent legal action is required or mandatory law provides otherwise.

This informal resolution process does not prevent either party from seeking urgent injunctive relief, taking action to protect intellectual property rights, responding to legal claims, complying with legal obligations, or taking action where delay would cause serious harm.

 

29. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or relating to them, the Services, your Account, your Content, or your relationship with All Humans Cry are governed by the laws of the Netherlands, without regard to conflict of law principles.

Subject to any mandatory consumer protection rules or other non-waivable jurisdictional rules, disputes will be submitted to the competent court in the Netherlands.

These Terms are written in English. If a translation is provided in the future, the English version will control unless expressly stated otherwise or unless mandatory law requires otherwise.

 

30. Assignment

You may not assign, transfer, sublicense, or delegate your rights or obligations under these Terms without our prior written consent.

All Humans Cry may assign, transfer, subcontract, or delegate rights and obligations under these Terms in connection with business operations, service providers, Distribution Partners, restructuring, sale of business, transfer of assets, legal compliance, or operational needs, provided that such assignment is consistent with applicable law.

 

31. Severability

If any provision of these Terms is held to be invalid, unlawful, or unenforceable, the remaining provisions will remain in full force and effect. The invalid or unenforceable provision will be interpreted or replaced to the extent necessary to achieve the original purpose as closely as possible under applicable law.

 

32. No Waiver

A failure or delay by All Humans Cry to enforce any provision of these Terms does not constitute a waiver of that provision or any other right. Any waiver must be in writing and signed or expressly confirmed by All Humans Cry.

 

33. Entire Agreement

These Terms, together with any incorporated policies, service-specific terms, plan terms, checkout terms, release submission confirmations, and written agreements between you and All Humans Cry, constitute the agreement between you and All Humans Cry regarding the Services.

If there is a conflict between these Terms and a more specific written agreement or policy, the more specific document will apply to the relevant subject matter, unless prohibited by mandatory law.

 

34. Acceptance Records

You agree that All Humans Cry may store proof of acceptance of these Terms and related policies, including user ID, timestamp, IP address, Terms version, checkbox text, and the text or version of the terms accepted at registration, checkout, release submission, or other relevant actions.

By ticking an acceptance checkbox, creating an Account, purchasing a subscription, submitting a Release, requesting a payout, or continuing to use the Services, you agree to be bound by these Terms and any applicable incorporated policies.

All Humans Cry may rely on electronically stored acceptance records as evidence that you reviewed and accepted the applicable version of these Terms and related policies. You agree that electronic records, checkbox confirmations, account activity, release submissions, payment confirmations, and continued use of the Services may be used to demonstrate acceptance of contractual terms, where permitted by applicable law.
